3. Scope of Work

PWS will provide the agreed design coordination, sourcing or fabrication, delivery, and installation package described in the accepted quotation and schedule. This agreement is for a complete supply and installation project.

Structural alterations, demolition, scaffolding, cranes, waterproofing, electrical work, permit fees, engineering certification, painting of surrounding surfaces, and other trades are included only when expressly listed. Required safety or compliance work must be allocated before work proceeds.

4. Measurements, Approvals & Safety

PWS will verify the site dimensions needed for its work and submit agreed drawings or specifications for approval before procurement or fabrication. The client should review appearance, layout, and intended use. Client approval does not transfer PWS’s responsibility for its measurements, workmanship, or applicable obligations.

Required engineering design, guard loading, glass suitability, anchor design, and regulatory approvals must be confirmed for the actual application. A site assessment or visual proposal alone is not structural certification. Work must not proceed on an unresolved safety-critical design or unsuitable mounting surface.

No material substitution or material change to the approved design may be made without written client agreement.

5. Contract Price & Payment

Contract total and currency (EC$ / US$)
Approved assessment credit, if any
Deposit amount
Balance amount
Tax / duty treatment, included delivery charges, and agreed payment variations

Standard payment schedule: 60% deposit on acceptance and 40% before installation, unless a different schedule is expressly agreed in this signed contract.

The deposit is applied to the project price. PWS will advise when the project is ready for the pre-installation balance and coordinate the installation date. Pre-installation payment does not constitute acceptance of incomplete work or waive defect remedies.

Prices are in the currency recorded above. An assessment credit applies only if confirmed in the schedule. The agreed price cannot be increased unilaterally; any change requires an approved written variation.

6. Programme, Procurement & Delays

Record whether the lead time starts from deposit clearance, final measurement, design approval, or another agreed milestone. Imported systems may require manufacturing, freight, customs clearance, and local delivery before installation.

PWS will communicate material delays and a revised programme promptly. Neither party may treat an estimate as permission for indefinite delay. If a substantial delay occurs, the parties will discuss a revised date or appropriate cancellation and settlement, subject to applicable rights.

7. Site Readiness & Access

The client will provide agreed access, disclose known concealed services or hazards, and complete enabling work allocated to the client. PWS will use reasonable care when drilling, fixing, transporting, and working at the property.

If a hidden condition, weak substrate, or access problem is discovered, PWS will make the area safe, explain the issue, and agree any necessary additional scope and cost before proceeding. Each party remains responsible for damage caused by its own negligence or breach.

Work areas must be kept clear of unauthorised persons. Unfinished railings must not be used as protective barriers; temporary protection responsibilities must be agreed before existing protection is removed.

8. Changes & Additional Work

Either party may request a change. PWS will record the revised scope, price adjustment, payment stage, and effect on timing. Both parties must approve the variation in writing before changed work or additional procurement proceeds, except immediate action reasonably necessary to make a hazard safe.

Written approvals must identify the project and change clearly. Keep email or WhatsApp confirmations with the project records.

9. Installation, Inspection & Handover

PWS will install the agreed system with reasonable care and skill, remove its installation waste, and arrange a joint inspection where practicable. The parties will record completion, outstanding items, and agreed rectification dates.

Minor outstanding items do not release PWS from completing the agreed scope. Signing a handover record does not waive rights concerning hidden defects, unsafe work, or other rights that cannot lawfully be waived.

PWS will provide applicable care instructions and any agreed supplier or workmanship warranty documents.

10. Defects, Warranties & Maintenance

Notify PWS promptly of suspected defects, with photographs where practical. PWS will inspect or investigate and provide the remedy required by the contract and applicable law. Supplier warranty arrangements do not remove PWS’s own obligations.

Record any additional commercial warranty in the schedule; do not leave its duration or coverage unresolved. Statutory rights apply independently of an additional warranty.

Follow the supplied cleaning and maintenance guidance. Stainless steel still requires maintenance, particularly near salt exposure. Damage attributable to misuse, third-party alteration, or neglected maintenance will be assessed on its actual cause; these factors do not automatically exclude an unrelated defect claim.

11. Suspension & Cancellation

Either party may request suspension or cancellation in writing. For a remediable breach, give written notice describing the problem and a reasonable opportunity to correct it. Work may be paused immediately where continuing would be unsafe.

For client-requested cancellation without PWS breach, any amount retained must reflect lawful, reasonable, documented work completed and unavoidable project commitments, with credit for recoverable or reusable materials. PWS will provide an itemised account and refund any remaining amount due. A deposit is not automatically forfeited in full.

Where PWS cannot perform, or cancellation follows PWS breach, settlement and remedies will reflect the circumstances and applicable law. No cancellation charge limits a statutory cancellation or refund right.

12. Disputes, Governing Law & Consumer Rights

Raise concerns in writing with the project reference and desired resolution. Both parties will first try to resolve the matter directly and may agree mediation. This does not prevent either party from approaching a competent authority or court or seeking urgent relief.

This agreement is governed by the laws of Saint Lucia. Nothing in it excludes liability or rights that cannot lawfully be excluded, including applicable consumer protections.

13. Documents, Privacy & Written Acceptance

The completed agreement, identified quotation, approved specifications, and later written variations form the project record. Resolve inconsistencies before work proceeds. A later change applies only when both parties expressly agree it; later website edits do not automatically amend a signed agreement.

Project contact information will be handled under the Privacy Policy. Permission must be obtained before using identifiable client or property information for marketing.

Both parties confirm that the project schedule is complete, attached documents have been provided, and the scope and payment arrangements are understood. Acceptance is by signature or an agreed electronic signing process identifying the final documents; this page does not collect signatures.
